It was indeed a Spyware/Malware stuff.
Ran Spyware Doctor and problem was solved!
(too me 7 hours to do the scan :S)...
Anyway, other spyware/anti-virus stuff didnt catch the worm.

Have the same problem here... start HL and my computer goes to hell, CPU Usage stuck at 100% and everything freeze every 2 seconds.
I have PIV 2,4 GHz 1 GB RAM
Turned Off Indexing... nothing
